Terms of Service

These Terms of Service govern your use of kasphil.com and any services provided by Kasphil. Please read them carefully. They are written in plain language — not legalese.

1. Acceptance of Terms

By accessing or using the Kasphil website (kasphil.com) or engaging Kasphil for any services, you agree to be bound by these Terms of Service. If you do not agree to these terms, please do not use our website or services.

These terms apply to all visitors, users, and clients of Kasphil. "Kasphil", "we", "our", or "us" refers to Kasphil, headquartered in Hyderabad, Telangana, India.

2. Services

Kasphil provides the following categories of services:

•Website design and development
•Digital marketing (SEO, Google Ads, Meta advertising, social media)
•Business registration and legal compliance
•GST registration and tax filing services
•Talent acquisition and recruitment
•Creative design (branding, UI/UX, marketing collateral)

Specific deliverables, timelines, and pricing for each engagement are defined in a separate Project Agreement or Statement of Work signed by both parties before work commences.

3. Enquiries and Consultations

Submitting an enquiry through our contact form or engaging in a consultation does not constitute a binding agreement. No services will be delivered and no fees will be charged until a formal Project Agreement is signed by both parties.

Free consultations are offered at our discretion and do not obligate you to engage our services, nor do they obligate us to accept your project.

4. Payment Terms

Unless otherwise stated in a Project Agreement:

•A deposit of 50% of the total project fee is due before work commences.
•The remaining balance is due upon project completion and before final delivery.
•Retainer services are billed monthly in advance.
•All prices are in Indian Rupees (INR) and are exclusive of GST unless stated otherwise.
•Invoices are payable within 7 days of issue.
•Late payments attract interest at 2% per month on the outstanding balance.

We reserve the right to pause or terminate work on any project where payment is overdue by more than 14 days.

5. Intellectual Property

Your content: You retain ownership of all content, logos, images, and materials you provide to us for your project.

Our work product: Upon receipt of full payment, all custom design and development work created specifically for your project becomes your property. Kasphil retains the right to display the work in our portfolio unless you request otherwise in writing.

Pre-existing IP: Any tools, frameworks, libraries, or proprietary processes used in delivering your project remain the property of Kasphil or their respective owners. You receive a licence to use these as part of your delivered project.

Third-party assets: Licences for fonts, stock images, plugins, or other third-party assets used in your project are your responsibility unless we have agreed to obtain them on your behalf.

6. Client Responsibilities

To ensure timely delivery, you agree to:

•Provide all required content, assets, approvals, and feedback within the timelines agreed in the Project Agreement.
•Designate a single point of contact for project communication.
•Ensure that any content you provide does not infringe third-party intellectual property rights.
•Obtain any licences or permissions required for content you provide.

Delays caused by late content, feedback, or approvals from your side may result in revised timelines and additional costs, which will be communicated in advance.

7. Warranties and Disclaimers

Kasphil warrants that:

•Services will be performed with reasonable skill and care.
•Delivered websites and applications will function as specified for 30 days post-launch (defects warranty).

Kasphil does not warrant:

•Specific search engine rankings or positions — SEO results are subject to search engine algorithms outside our control.
•Specific advertising performance metrics — campaign results depend on market conditions, competition, and other factors.
•That our website or services will be uninterrupted or error-free.
•That digital marketing campaigns will achieve specific revenue or lead targets.

The website and services are provided "as is" to the extent permitted by applicable law.

8. Limitation of Liability

To the maximum extent permitted by law:

•Kasphil's total liability to you for any claim arising from our services shall not exceed the total fees paid by you in the 3 months preceding the claim.
•We shall not be liable for indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or business opportunities.
•We shall not be liable for delays or failures caused by circumstances beyond our reasonable control (force majeure), including internet outages, platform changes by third parties, or government actions.

9. Termination

Either party may terminate a project engagement with 14 days' written notice. Upon termination:

•You will be invoiced for all work completed up to the termination date, calculated on a pro-rata basis.
•The deposit is non-refundable if termination occurs after work has commenced.
•We will deliver all completed work and assets in our possession upon receipt of payment for work done.

We reserve the right to terminate any engagement immediately and without notice if you breach these terms or the Project Agreement.

10. Confidentiality

Both parties agree to keep confidential any proprietary business information shared during the engagement. This obligation continues for 2 years after the end of the engagement.

This does not prevent Kasphil from displaying completed work in our portfolio, case studies, or marketing materials, unless you have requested confidentiality in writing.

11. Website Use

By using kasphil.com, you agree not to:

•Use the website for any unlawful purpose or in violation of these terms.
•Attempt to gain unauthorised access to any part of the website or its infrastructure.
•Transmit any harmful, offensive, or disruptive content through the website.
•Reproduce, distribute, or exploit any content on the website without our written permission.

We reserve the right to restrict or terminate access to the website for any user who violates these terms.

12. Governing Law

These Terms of Service are governed by and construed in accordance with the laws of India. Any disputes arising from these terms or your use of our services shall be subject to the exclusive jurisdiction of the courts of Hyderabad, Telangana, India.

We reserve the right to update these Terms of Service at any time. Material changes will be communicated by updating the "Last Updated" date on this page. Continued use of our website or services after changes constitutes acceptance of the revised terms.
